CloudUcaas provides multi-channel broadcasting and communication solutions, including but not limited to:

  • WhatsApp Broadcasting
  • SMS Broadcasting and SMS Chat
  • Email Broadcasting
  • Fax Broadcasting
  • Website Builder and Social Media Tools
  • Unified Communications and Related Integrations (e.g. IPPBX, Dialer, CRM)

Specific features, pricing, delivery limits, and support levels are defined in your order form, service agreement, or proposal.

2. Acceptable Use

You agree not to use our services to:

  • Send spam, unsolicited messages, or content that violates applicable telecom or marketing laws.
  • Distribute fraudulent, defamatory, obscene, or illegal material.
  • Harass, threaten, or impersonate others.
  • Transmit malware or attempt to disrupt our systems.
  • Upload recipient lists without proper consent and opt-out mechanisms.

We may suspend or terminate accounts that violate acceptable use policies or carrier guidelines.

3. Customer Responsibilities

You are responsible for:

  • Accuracy of contact data and message content you submit.
  • Obtaining lawful consent from message recipients.
  • Compliance with TRAI, DLT, WhatsApp Business, and other applicable regulations.
  • Keeping account credentials confidential.
  • Timely payment of agreed fees and charges.

4. Service Availability

We strive for high uptime and reliable message delivery. However, services depend on third-party networks, operators, and internet infrastructure. We do not guarantee uninterrupted access or delivery in all circumstances, including during maintenance, outages, or regulatory restrictions.

5. Fees and Payment

Fees are as quoted in your commercial agreement. Credits, prepaid balances, and postpaid billing terms apply as agreed. Late payments may result in suspension of services. Taxes and government levies are additional where applicable.

6. Intellectual Property

The CloudUcaas website, software, logos, documentation, and marketing materials are owned by CloudUcaas or its licensors. You may not copy, modify, or redistribute them without prior written consent, except as permitted by law.

You retain ownership of your content and data. You grant us a limited licence to process your content solely for providing the services.

7. Disclaimer of Warranties

Services and website content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the extent permitted by law, CloudUcaas shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill arising from your use of our services.

Our aggregate liability for claims relating to these Terms or the services shall not exceed the fees paid by you to us in the twelve (12) months preceding the claim.

9. Indemnity

You agree to indemnify and hold harmless CloudUcaas and its authorized personnel against claims arising from your misuse of the services, violation of these Terms, or violation of third-party rights, except where caused by our wilful misconduct.

10. Suspension and Termination

We may suspend or terminate access for security reasons, non-payment, breach of these Terms, or legal compliance requirements. You may terminate services according to your agreement. Provisions that should survive termination will remain in effect.

11. Governing Law

These Terms are governed by the laws of India. Courts at Gautam Buddh Nagar, Uttar Pradesh shall have exclusive jurisdiction, subject to mandatory provisions of applicable law.

12. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date will reflect revisions. Continued use of our services after changes constitutes acceptance of the revised Terms where permitted by law.
